These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and [Legal Entity Name], doing business as RxRules ("RxRules," "we," "us," or "our"), governing your access to and use of the RxRules websites, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
"Content" means any data, facts, text, or materials submitted to or generated by the Service. "Compliance Facts" means the de-identified prescription data fields you submit for evaluation. "Output" means the informational guidance, statuses, citations, and checklists the Service returns. "Subscription" means a paid plan providing access to the Service.
RxRules is an informational decision-support tool for controlled-substance compliance. The Service evaluates de-identified facts you provide and returns guidance, which may include statuses such as "COMPLIANT," "WARNING," or "VIOLATION," together with citations and checklists. You expressly acknowledge and agree that:
You are a licensed professional or authorized user and are solely responsible for your use of the Service and for any action you take or do not take based on the Output. You assume all risk arising from reliance on the Service. You agree that you will not rely on the Service as the sole basis for any clinical or legal decision and that you remain fully responsible for compliance with all applicable laws, regulations, professional obligations, and standards of care.
Access is by invitation and is intended for licensed prescribers and other authorized personnel who are at least 18 years old. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your credentials and for all activity occurring under your account, and you must notify us promptly of any unauthorized use. We may refuse, suspend, or revoke access in our discretion.
Certain features require a paid Subscription, which may begin with a free trial. Payments are processed by our third-party payment processor, Stripe, Inc.; by subscribing you also agree to Stripe's terms. RxRules does not collect or store your full payment card details.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal professional purposes. The Service, including all software, content, rule logic, citations, and trademarks (including the RxRules name and logo), is owned by us or our licensors and is protected by law. You receive no rights except as expressly granted. You retain ownership of Content you submit and grant us a worldwide, royalty-free license to host, process, and use it to provide, secure, and improve the Service, including in de-identified and aggregated form.

The Service relies on third parties, including Auth0 (authentication) and Stripe (payments), and may link to other services. We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.
THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE OUTPUT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, OR LEGALLY SUFFICIENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RXRULES OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR FOR ANY CLAIM ARISING FROM A PRESCRIBING, CLINICAL, OR LEGAL DECISION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100). THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN.
You agree to defend, indemnify, and hold harmless RxRules and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Content, your reliance on or use of the Output, your clinical or legal decisions, or your violation of these Terms or any law or third-party right.
These Terms apply while you use the Service. We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms or non-payment. You may stop using the Service and cancel your Subscription at any time. Sections that by their nature should survive termination (including Sections 3, 4, and 7-16) will survive.
These Terms are governed by the laws of the State of [Governing-Law State], without regard to conflict-of-laws rules. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by [Arbitration Administrator] under its applicable rules, on an individual basis. You and RxRules waive any right to a jury trial and to participate in a class, collective, or representative action. If arbitration is found unenforceable, the exclusive venue for disputes will be the state or federal courts located in [County, State], and you consent to their jurisdiction. Any claim must be brought within one (1) year after it arises.
We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; material changes will be posted with a revised "Last updated" date and, where appropriate, additional notice. Your continued use after changes take effect constitutes acceptance.
These Terms, with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing creates a partnership, agency, or employment relationship. We are not liable for delays or failures caused by events beyond our reasonable control.
